Based in Kelowna, our client is hiring a legal assistant that has experience with corporate/commercial law. This position is required to work closely with a team of lawyers and assist with preliminary drafting of correspondence and follow-ups. Duties include: Filing incorporations and preparing minute books, maintaining Corporate Records and filing Annual Reports, drafting various corporate documents, including resolutions, and other communicating with clients, lawyers, accountants, and other professionals.


• Preparation of documentation for setting up and providing ongoing maintenance services for limited partnerships, limited liability partnerships and joint ventures

• Preparation of documentation for commercial purchase and sale transactions (assets and/or shares)

• Completing all due diligence searches and reviewing, and preparation of management, employment and shareholders agreements

• Preparation of documentation relating to all aspects of basic and professional incorporations, alterations to notice of articles, all share transactions, all types of ITA exchanges, rollovers and transactions, continuations and restorations, amalgamations and dissolutions

• Preparation, registration and completion of commercial lending transactions for lenders

• Organize and deal with transactions to oversee the execution of documents

• Organize and ensure Firm service requests and requirements are met in a timely manner


• Knowledge of BC Registry Services and Personal Property Registry practices for searches and registrations.

• Must be able to multi-task and prioritize a workload, pay attention to detail, and have excellent organizational, communication, and written skills.

• Completion of a Paralegal Diploma / Certificate from a recognized Canadian institution

• Knowledge of relevant laws/legislation including British Columbia Business Corporations Act (BCBCA), Canada Business Corporations Act (CBCA) and Canada Corporations Act

• Excellent oral, written English is essential to this role as well as excellent communication skills

• Technology Savvy and proficient in Microsoft Word, Excel and Outlook

• Proficiency in Microsoft Office and knowledge of ALF and Esi-Law database would be considered assets
